今回は、新生銀行が買収防衛策を取り下げることになったというニュースを紹介します。当初、新生銀行は株式公開買い付け（TOB）に対抗するための買収防衛策を発動しましたが、双方で協調して企業価値向上に取り組むことにして、SBIから社長を受け入れ、事業運営に協力することで合意したようです。これで銀行初のと注目されいた敵対的買収は、なくなることになったようです。

新生銀行、買収防衛策を撤回 SBIから社長受け入れ
Shinsei Bank on the 24th announced it will withdraw its defense measures against the takeover bid by SBI Holdings. The extraordinary general meeting of shareholders scheduled for the 25th to discuss whether to invoke the defense measures will be canceled. Shinsei Bank has agreed to accept a president from SBI and cooperate in its business operations. The first hostile takeover of a bank in Japan will likely now come to an end.
Shinsei Bank has agreed to cooperate in business operations and to accept former FSA Commissioner Hirofumi Gomi, recommended by SBI as chairman, Vice President Katsuya Kawashima, recommended as president, and Executive Officer Katsumi Hatao, recommended as director. If the new structure is approved at the extraordinary shareholders' meeting scheduled for February, Shinsei Bank President Hideyuki Kudo and other members of the current management team will step down.
